Representative Transactions

In the last several years, members of the Business Services Practice Group have assisted clients in the consummation of the following transactions:

• The sale of stock of a corporate client to a foreign affiliate, including the negotiation of a purchase and sale agreement and favorable continuing employment agreements for the selling principals.

• The acquisition of stock of a privately held international freight forwarder and customs broker, including negotiating relevant agreements and closing the transaction.

• Organizing limited liability companies to allow a domestic Subchapter S corporation to enter into business venture having an unqualified Sub S shareholder, negotiating all aspects of the transaction and attending to the closing.

• Organizing limited liability companies to allow a domestic Subchapter S corporation to separately own a collateral business.

• Representing a manufacturer of luxury automobiles in the financing of several local dealerships.

• Representing a privately held international freight forwarder and customers broker in the negotiation and purchase of the stock of a privately held competitor.

• Representing a national charitable foundation in the sale of several major parcels of real estate.

• Acting as Illinois real estate counsel for a national insurance company.

• Organizing a local charity and obtaining required federal income tax exemptions required for its operation.
